Terms of Service

This is the agreement between your shop and Valor Automation LLC for the use of Nameplate. Plain language on purpose — you should be able to tell what you are agreeing to without a lawyer sitting next to you.

The agreement

By creating an account you agree to these terms on behalf of your business. If you are signing up for a company, you confirm you are allowed to bind it. If you do not agree, do not create an account.

The service

Nameplate is maintenance contract management software for mechanical service contractors. We provide it on a subscription basis and will make reasonable efforts to keep it available and working. We do not promise uninterrupted service, and we will occasionally take it down briefly for maintenance.

Trial, payment, and cancellation

  • New accounts get a 14-day free trial. No card is required to start it.
  • After the trial, continued use requires a paid plan. Plans are billed monthly in advance through Stripe and renew automatically until you cancel.
  • You can cancel at any time from the billing screen. Cancellation takes effect at the end of the period you have already paid for; we do not pro-rate refunds for a partial month.
  • Each plan includes a number of technician seats. Seat limits are enforced by the software. Exceeding your plan is not a breach — you simply cannot add another person until you upgrade or free a seat.
  • We may change prices with at least 30 days’ notice by email. A price change never applies to a period you have already paid for.

Your data is yours

You own everything you put into Nameplate: your customers, your equipment records, your readings, your photographs, your quotes. We claim no ownership over any of it. We hold a licence to store and process that content only to the extent needed to run the service for you.

You can request an export at any time. If you close your account we keep your data for 30 days and then delete it, as described in the Privacy Policy.

Your responsibilities

  • Keep your login credentials secure, and remove access for people who leave.
  • Make sure you are allowed to store the customer information you enter, and that any signature you collect was genuinely given by the person named.
  • Do not use the service to break the law, to send unsolicited bulk email, or to attempt to reach another organization’s data.
  • Do not attempt to probe, scan, or overload the service. If you want to security test it, write to us first and we will almost certainly say yes.

Professional judgement remains yours

This is the clause that matters most in this industry, so it is not buried. Nameplate records readings, flags values outside the ranges configured in your own checklists, and helps you price the work. It does not diagnose equipment and it is not a substitute for a qualified technician. Pass ranges shipped with the product are conservative starting points intended to be edited to match your practice and the equipment nameplate.

Decisions about safety, red-tagging, combustion, refrigerant, and electrical work are yours and your technicians’, and remain governed by the applicable codes and your own licensure. We are not liable for those decisions.

Quotes and payments between you and your customers

Quotes signed through Nameplate are agreements between you and your customer. We are not a party to them, we do not process your customers’ payments, and we take no position on the amounts. Nameplate records what was presented and what was signed; enforcing it is between you and them.

Availability and liability

The service is provided as-is. To the fullest extent the law allows, we disclaim implied warranties, and our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for lost profits, lost business, or the cost of substitute software.

Nothing here limits liability that cannot legally be limited, including for fraud or death and personal injury caused by negligence.

Suspension and termination

You may stop using Nameplate whenever you like. We may suspend or close an account for non-payment, or for use that breaks these terms or puts other customers at risk. Except in cases of abuse, we will contact you before closing an account and give you a chance to export your data.

Changes to these terms

If we change these terms materially we will email account owners before the change takes effect. Continuing to use the service after that date means you accept the new terms.

Governing law

These terms are governed by the laws of the United States and of the state in which Valor Automation LLC maintains its principal place of business, without regard to conflict-of-laws rules. Disputes will be brought in the courts of that state.
